1. Agreement

These Terms of Use (“Terms”) govern your access to and use of the HiOctane website and content made available through it (collectively, the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2. The Site is informational

The Site describes HiOctane’s services in general terms. Nothing on the Site is an offer to contract, a guarantee of results, or professional advice (legal, financial, or otherwise). Any engagement is subject to a separate written agreement, scope, and fees.

3. Acceptable use

You agree not to:

• Use the Site in any way that violates law or infringes others’ rights;
• Attempt to gain unauthorized access to our systems, other users, or third-party services linked from the Site;
• Interfere with or disrupt the Site, including by introducing malware or excessive automated traffic;
• Scrape, harvest, or collect data from the Site in bulk without our prior written consent, except as allowed by applicable law.

4. Intellectual property

The Site, including text, graphics, logos, layout, and other materials, is owned by HiOctane or our licensors and is protected by intellectual property laws. You may view and print reasonable portions for personal, non-commercial use. You may not copy, modify, distribute, or create derivative works from the Site except as expressly permitted by us in writing.

5. Third-party links

The Site may link to third-party websites or tools (for example scheduling providers). We are not responsible for their content, practices, or availability. Your use of third-party services is at your own risk and subject to their terms.

6. Disclaimer of warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HiOctane OR OUR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED CANADIAN DOLLARS (CAD $100) OR (B) THE AMOUNTS YOU PAID US SPECIFICALLY FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (WHICH IS TYPICALLY ZERO FOR PUBLIC SITE VISITORS).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

8. Indemnity

You will defend and indemnify HiOctane and our affiliates, officers, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your misuse of the Site or violation of these Terms, to the extent permitted by law.

9. Changes

We may modify these Terms at any time. We will post the updated Terms on the Site and update the “Last updated” date. Your continued use of the Site after changes constitutes acceptance of the revised Terms.

10. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Courts in Toronto, Ontario, have exclusive jurisdiction over disputes arising from or related to these Terms or the Site, subject to mandatory consumer protections where you reside, if any.

If you need a different governing law for your organization, say so in a signed services agreement; these Terms apply only to general website use.
